Please read carefully. A subscription gives you a limited right to use MastermindX; it does not sell or transfer the platform, research, data compilations, signals, scores, models, or other Service Materials to you. Resale, redistribution, client delivery, systematic extraction, competitive use, and AI or model reuse require our prior written permission or a separate commercial license. MastermindX provides market information and analytics, not investment advice. This English text is the operative version; any translation is for convenience. 本英文版本为准。
Effective date: 8 August 2026. These Terms of Service ("Terms") are a binding agreement between you and the provider identified as the seller or service provider in the applicable checkout, order form, invoice, or receipt ("MastermindX", "Mastermind", "we", "us"). They govern mastermind-x.com, the Mastermind Terminal at app.mastermind-x.com, and related products, applications, content, and services (collectively, the "Service"). By creating an account, buying a subscription, or accessing the Service, you agree to these Terms, our Privacy Policy, and our Disclaimer. If you use the Service for an organization, you represent that you have authority to bind it, and "you" includes that organization. If you do not agree, do not use the Service.
Key definitions
- "Service Materials" means the Service and its software, interfaces, page designs, research, reports, text, charts, graphics, taxonomies, selections, arrangements, documentation, prompts, workflows, and other content supplied through it, excluding User Content and the underlying public facts in Third-Party Materials.
- "Platform Data and Outputs" means data compilations and any signal, score, ranking, screen, alert, classification, forecast, summary, response, research output, or other result displayed, generated, or exported by the Service, including a substantial or systematically collected portion of any of them.
- "Third-Party Materials" means data, research, software, models, documents, and other materials supplied or licensed by third parties or obtained from public sources.
- "User Content" means prompts, messages, images, watchlists, portfolio or journal entries, notes, feedback, and other material you submit to the Service.
- "Authorized User" means the individual assigned a seat or permitted to use an account under the applicable plan or order.
Eligibility, authority, and accounts
You must be at least 18 years old, have legal capacity to enter these Terms, and not be prohibited from using the Service under applicable law. You must provide accurate account information, keep it current, protect your credentials and authentication methods, and promptly notify support@mastermind-x.com of suspected unauthorized access.
Accounts and seats are for named Authorized Users. Unless an order expressly permits it, you may not share credentials, transfer an account, let multiple people use one seat, multiplex or pool access, or create multiple accounts to evade limits. You are responsible for activity under your account and for ensuring that your Authorized Users comply with these Terms. We may require reasonable information to verify identity, authority, eligibility, or plan compliance.
Subscriptions, billing, renewals, and trials
- Plans and entitlements. Paid features, usage allowances, seats, and access periods are described at purchase or in an order. Features, underlying sources, models, and quotas may evolve as described under "Service changes" below.
- Automatic renewal. A paid subscription renews for the interval you select until cancelled. You authorize us and our payment processor to charge the payment method on file for recurring fees, applicable taxes, and disclosed charges.
- Trials and promotions. A trial may require a payment method. Unless the offer states otherwise, it converts to a paid subscription at the disclosed price if you do not cancel before it ends. Promotions may have additional terms and may not be combined.
- Cancellation. You may cancel through your account or the payment portal. Cancellation normally takes effect at the end of the paid period; access continues until then unless the account is suspended for cause.
- Refunds. Except where applicable law or a written offer requires otherwise, charges are non-refundable and partial periods are not prorated.
- Failed payments. We may retry a failed charge and suspend or reduce paid access while payment is overdue. You remain responsible for amounts lawfully due.
- Taxes. Prices exclude taxes unless stated otherwise. You are responsible for taxes that the law requires you to pay, except taxes on our net income.
- Price changes. We may change subscription prices with advance notice before the change applies to a renewal, subject to applicable law.
- Founding or locked-rate plans. A stated locked or founding rate protects only the eligible subscription price, and only while the qualifying subscription remains continuously active and in good standing. It does not freeze product features, quotas, data sources, model providers, or taxes. Cancelling, lapsing, or changing to an ineligible plan may end the protected rate.
Limited license and permitted use
Subject to these Terms, payment of applicable fees, and any plan or order limits, we grant each Authorized User a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during the subscription or access period to:
- access and use the Service for the Authorized User's own personal research, education, and decision support; and
- use the Service for the subscriber's internal research, analysis, and business decisions, subject to the applicable plan, seat, and usage limits.
Where the Service provides an export or download control, you may keep a reasonable number of copies for those permitted internal purposes. An export function does not grant a right to republish, syndicate, sell, supply a data feed, train a model, serve clients, or otherwise commercially exploit the exported material. All rights not expressly granted are reserved.
Commercial use and data policy
Your subscription permits use of the Service in your own work; it does not permit you to commercialize the Service Materials or Platform Data and Outputs. Without a separate written commercial or institutional license, you must not, directly or indirectly, and must not enable another person to:
- resell or redistribute: sell, resell, rent, sublicense, syndicate, publish, broadcast, distribute, transfer, or make available any Service Materials or Platform Data and Outputs, whether free or paid, public or private;
- repackage the Service: white-label, mirror, frame, reproduce, or embed the Service, or offer its contents through a website, application, API, file, database, dashboard, data feed, newsletter, alert service, chat service, plug-in, or similar channel;
- deliver to clients or external users: use Service Materials or Platform Data and Outputs in client reports, managed-account services, model portfolios, paid communities, courses, consulting, research services, investment products, indexes, or other externally delivered products or services;
- sell derived substitutes: sell, license, distribute, or expose signals, scores, rankings, forecasts, classifications, alerts, histories, summaries, or derived datasets that reproduce, reveal, trace, or act as a substitute for the Service or a material part of it;
- extract or reconstruct: systematically capture screenshots, query, download, copy, cache, aggregate, combine, or retain Service Materials or Platform Data and Outputs to build or refresh a repository, history, dataset, or database;
- use for AI or machine learning: use the Service Materials or Platform Data and Outputs to train, fine-tune, distill, ground, evaluate, benchmark, validate, or improve a model or automated system; create embeddings, vector stores, retrieval-augmented generation corpora, datasets, features, labels, prompts, or agent memory; or generate synthetic data for any of those purposes;
- build or improve a competing product: use access to the Service, including non-public workflows, organization, analytics, or outputs, to develop, test, benchmark, validate, market, or improve a product or service that has substantially similar market-intelligence, analytics, screening, signal, research, or AI-assistant functionality; or
- remove protections: remove, obscure, alter, or bypass attribution, provenance, copyright, trademark, access-control, entitlement, or watermark notices.
These restrictions do not give us ownership of User Content, independently developed material that does not use the Service Materials or Platform Data and Outputs, or underlying public-domain facts. They do not prevent conduct that applicable law makes non-waivable, such as lawful interoperability rights. A brief, non-systematic excerpt may be shared only when the Service provides a sharing feature or we give written permission, with visible attribution and a link to the Service, and never if it exposes paywalled or vendor-restricted material or substitutes for a subscription.
Commercial and institutional licensing
Rights for multiple users, client deliverables, publication, redistribution, data feeds, APIs, model or index construction, AI or machine-learning use, or other external exploitation require a separate written license signed by us. To request one, email support@mastermind-x.com with the subject "Commercial licensing" and describe the intended users, data, outputs, delivery method, geography, and volume. A request, discussion, or payment for a standard subscription does not grant those rights.
Automated access and technical restrictions
You may access the Service only through the user interfaces we provide or an API or integration we expressly authorize in writing. Except under a written license, you must not:
- use a bot, scraper, crawler, headless browser, script, extension, agent, or automated query process to access, monitor, copy, or extract from the Service;
- bypass or evade authentication, paywalls, robots instructions, rate limits, usage quotas, watermarks, geographic controls, or other technical safeguards;
- probe, scan, test, or exploit a vulnerability, access another user's account or data, or disclose a vulnerability in a way that creates risk before we have a reasonable opportunity to address it;
- reverse engineer, decompile, disassemble, derive, or attempt to discover source code, data structures, models, weights, system prompts, instructions, algorithms, scoring logic, or underlying components, except to the limited extent applicable law prohibits this restriction; or
- interfere with the Service, introduce malicious code, or impose a disproportionate load on our systems or providers.
Acceptable use
You must not use the Service to violate law or another person's rights; facilitate fraud, deception, manipulation, unlawful discrimination, harassment, or market abuse; distribute malware or harmful code; submit content you do not have the right to use; impersonate another person; misrepresent a Service output as independently authored or guaranteed; or assist another person in doing any prohibited act. You must follow applicable securities, market-conduct, privacy, export-control, intellectual-property, and sanctions laws.
Third-party data, research, and software
The Service incorporates Third-Party Materials, which may include public filings and government data, market and issuer data, vendor feeds, institutional research, open-source software, and hosted AI models. Those materials may be subject to additional attribution, usage, geographic, or redistribution terms. If a third-party term is stricter than these Terms, it controls for that material. We cannot grant rights that a supplier has not granted us.
We do not claim ownership of raw public facts. We and our licensors retain rights in protected expression and in the selection, arrangement, normalization, enrichment, linkage, scoring, commentary, provenance, and presentation supplied through the Service. Third-party and open-source software components remain governed by their own licenses and notices.
AI assistant and outputs
The Service may use third-party AI providers to generate responses. Outputs can be inaccurate, incomplete, biased, outdated, non-unique, or similar to outputs provided to others. You must independently verify any output before acting on or sharing it and must not represent it as guaranteed, professional advice, or a statement by a data source.
You may use AI outputs for the internal purposes allowed by your plan, subject to these Terms and any third-party rights. Do not submit confidential, regulated, export-controlled, insider, sensitive personal, or third-party information unless you have authority to do so and accept the processing described in our Privacy Policy. We may log and review interactions for operation, security, evaluation, debugging, and product-improvement purposes as described there.
User Content and feedback
You retain any ownership rights you have in User Content. You represent that you have the rights and permissions needed to submit it and that our permitted processing will not violate law or another person's rights. You grant us and our service providers a worldwide, non-exclusive, royalty-free license to host, copy, transmit, process, analyze, display to you, and otherwise use User Content as reasonably necessary to operate, secure, support, evaluate, and improve the Service. This license lasts while needed for those purposes and for the retention periods described in the Privacy Policy.
If you voluntarily provide feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation, provided we do not publicly identify you without permission.
Ownership and reservation of rights
As between you and us, the Service and Service Materials are owned by us or our licensors and protected by intellectual-property and other laws. MastermindX names, logos, product names, and visual identifiers are trademarks or trade dress of us or our licensors. No implied license arises from access, payment, estoppel, or an export capability. Except for the limited license above, you may not reproduce, modify, adapt, create derivative works from, distribute, publicly display, publicly perform, sublicense, rent, sell, assign, or otherwise exploit the Service or Service Materials.
Service changes, capacity, and availability
Markets, data rights, vendors, models, and technology change. We may add, change, limit, suspend, or discontinue features, sources, models, interfaces, or usage allowances; perform maintenance; or impose reasonable technical limits. We will give notice of a material adverse change to a paid subscription where reasonably practicable or required by law. We do not promise that any particular feature, ticker, source, model, archive, or output will remain available.
No investment advice or fiduciary relationship
MastermindX provides market information, analytics, tools, and educational content. It is not acting as your investment adviser, broker-dealer, commodity trading adviser, fiduciary, financial planner, lawyer, accountant, or tax adviser. Nothing on the Service is a personalized recommendation, offer, solicitation, or instruction to buy, sell, or hold an asset. No advisory, fiduciary, brokerage, employment, partnership, or agency relationship is created by these Terms or your use of the Service. Our Disclaimer is incorporated into these Terms.
Disclaimer of warranties
To the maximum extent permitted by law, the Service and all Service Materials, Platform Data and Outputs, and Third-Party Materials are provided "as is" and "as available" without warranties of any kind, express, implied, or statutory, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, timeliness, security, availability, or results. We do not warrant uninterrupted or error-free operation, preservation of data, delivery of alerts, or that defects will be corrected. Some jurisdictions do not permit certain exclusions, so those exclusions apply only to the extent allowed.
Limitation of liability
To the maximum extent permitted by law, MastermindX and its affiliates, licensors, providers, contributors, officers, employees, and agents will not be liable for indirect, incidental, special, exemplary, consequential, or punitive damages; lost profits, revenues, opportunities, goodwill, or data; or trading, investment, hedging, tax, or financing losses arising from or related to the Service, even if advised that they were possible.
To the maximum extent permitted by law, their aggregate liability for all claims arising from or related to the Service or these Terms will not exceed the greater of (a) the fees you paid us for the Service in the 12 months before the event giving rise to the claim or (b) USD 100. The limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose. Nothing excludes liability or a statutory remedy that cannot lawfully be excluded or limited.
Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless MastermindX and its affiliates, providers, officers, employees, and agents from third-party claims, losses, liabilities, and reasonable legal expenses arising from your User Content, your unauthorized commercial or automated use, your violation of these Terms or law, or your infringement of another person's rights. We will provide reasonable notice and may control the defense and settlement. You may not settle a claim in a way that admits our fault or imposes obligations on us without our written consent. This section does not apply to the extent prohibited by consumer law.
Suspension, termination, and remedies
We may limit, suspend, or terminate access, remove content, preserve evidence, or take other reasonable protective action if we believe you breached these Terms, created security or legal risk, failed to pay, or used the Service in a way that could harm users, providers, or the Service. Where appropriate, we may provide notice and an opportunity to cure. Serious or repeated scraping, redistribution, credential sharing, security abuse, or infringement may result in immediate action.
You may stop using the Service and request account closure at any time; subscription cancellation and refunds remain governed by the billing terms above. On termination, your license ends and you must stop using and, where required, delete protected Service Materials and Platform Data and Outputs. Provisions that by their nature should survive—including ownership, commercial-use restrictions, payment obligations, disclaimers, liability limits, indemnification, dispute terms, and general terms—survive. Unauthorized use may cause harm that money alone cannot remedy, so we may seek injunctive or equitable relief in addition to other lawful remedies.
Export controls and sanctions
You may not use or export the Service in violation of applicable export-control, trade, or sanctions laws. You represent that you are not prohibited from receiving the Service and will not make it available to a prohibited person, territory, or end use.
Governing law and disputes
Before filing a claim, you and we will try in good faith for 30 days to resolve it after written notice describing the issue and requested relief. These Terms are governed by the laws of the jurisdiction where the service provider identified on your order or receipt is established, without regard to conflict-of-laws rules. Courts located in that jurisdiction will have exclusive jurisdiction, except that either party may seek urgent injunctive relief in a court with authority and mandatory consumer law may give you the right to use the courts or law of your home jurisdiction. Nothing in this section waives rights that cannot lawfully be waived.
General terms
These Terms, the Privacy Policy, the Disclaimer, and any signed order or commercial license are the entire agreement about the Service. A signed order controls over these Terms only for a direct conflict; a third-party license controls for its materials. You may not assign these Terms without our written consent; we may assign them in connection with a reorganization, financing, merger, acquisition, or sale of assets. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the rest will remain effective. A waiver must be written and applies only to that instance. Headings are for convenience. "Including" means "including without limitation." Electronic notices and transactions are valid to the extent permitted by law.
Changes to these Terms
We may update these Terms as the Service or law changes. We will revise the Effective date and provide additional notice before a material change takes effect where required. Changes do not retroactively reduce rights already accrued. If you do not agree to revised Terms, you must stop using the Service and cancel before the change takes effect; continued use after that date constitutes acceptance to the extent permitted by law.
