Japan Banks: Regional bank reorganization: Iyogin HD and Ehime Bank announce basic agreement on management integration
Iyogin Holdings (Iyogin HD) and Ehime Bank announced on July 24 that they have Makoto Kuroda | reached a basic agreement to proceed with discussions toward a management Goldman Sachs Japan Co., Ltd. integration in April 2027. Iyogin HD noted that it is considering a structure in which it Hibiki Takuma will make Ehime Bank a wholly owned subsidiary, after which both Iyo Bank and | Ehime Bank will operate under the holding company. According to the Goldman Sachs Japan Co., Ltd.
announcement, Iyogin HD plans to conclude a share exchange agreement with Ehime Bank in December, followed by an extraordinary general meeting of Ehime Bank shareholders in February 2027, with the share exchange scheduled to take effect on April 1, 2027. The integration is thus scheduled to take effect within one year of the announcement.
According to the disclosure materials (Japanese only), the two entities’ combined lending share in Ehime Prefecture is 51.0% and their deposit share is 52.6% (as of the end of March 2025), and both banks possess strengths in ship finance (as of December 2025, Iyo Bank ranks 3rd domestically and 10th globally in ship finance balance, while Ehime Bank ranks 12th domestically and 37th globally). Furthermore, according to various media reports, their combined share of main bank corporate clients would reach 76% (based on 2025 data).
As for synergy effects expected from the integration, the disclosure materials cite regional contributions, as well as the integration of administrative operations and systems, unification of products and services, and the centralization and streamlining of branch and headquarter operations.
Our view: Regional bank integration and mergers are currently accelerating in Japan, backed by policy support such as a special law exempting regional bank integrations and mergers from the Antimonopoly Act, as well as support grants for regional bank realignment (up to ¥5 bn). Costs related to system renewals and regional bank realignment in neighboring areas could also serve as tailwinds pushing regional banks to consider realignment. We include a regional bank map below. Cases of realignment among independent banks or re-realignment of already integrated entities are also beginning to emerge as consolidation progresses, and we continue to keep a close watch on this as an investment theme in the banking sector.
